All content, materials, and intellectual property associated with the True Colors Affiliate Program and True Colors Coloring Books — including but not limited to book designs, illustrations, coloring pages, logos, trademarks, trade dress, training videos, guides, templates, marketing materials, website content, and all other creative works — are the exclusive property of Bay Area CBT Center and/or its licensors. These materials are protected by United States and international copyright, trademark, and other intellectual property laws.
2.1 Assignment of Rights. By participating in the Program, you agree that any and all content you create, produce, or contribute in connection with the Program — including but not limited to coloring demonstrations, video recordings, social media content created for Program accounts, reviews, testimonials, photographs, graphics, written content, and any other creative works — is automatically and irrevocably assigned to Bay Area CBT Center upon creation.
2.2 Scope of Assignment. This assignment includes all rights throughout the world, in perpetuity, in all media now known or hereafter developed, including but not limited to: the right to reproduce, distribute, display, perform, create derivative works, sublicense, and otherwise use and exploit such content in any manner.
2.3 No Compensation for Content. You acknowledge that the opportunity to participate in the Program and earn commissions constitutes full and adequate consideration for this assignment. No additional compensation is owed for any content you create in connection with the Program.
2.4 Cooperation. You agree to execute any documents and take any actions reasonably requested by the Company to perfect, evidence, or enforce the Company's rights in Program Content.
3.1 Limited License. During your active participation in the Program, the Company grants you a limited, non-exclusive, non-transferable, revocable license to use Company-provided marketing materials, logos, and assets solely for the purpose of promoting True Colors Coloring Books as part of the Program.
3.2 Restrictions. You may NOT: (a) modify, alter, or create derivative works from Company materials without prior written approval; (b) use Company materials for any purpose other than Program participation; (c) sublicense, sell, or distribute Company materials to third parties; (d) use Company materials in any way that is misleading, defamatory, or harmful to the Company's reputation; (e) continue to use Company materials after termination of your participation.
The "True Colors," "True Colors Coloring Books," and "Bay Area CBT Center" names, logos, and all related marks are trademarks of Bay Area CBT Center. You may use these trademarks only as expressly authorized by the Company and in accordance with any brand guidelines provided. Any unauthorized use of Company trademarks is strictly prohibited and may result in legal action.
If you believe that any content on the Portal infringes your copyright, please send a written notice to [email protected] containing: (a) a description of the copyrighted work; (b) the location of the allegedly infringing material; (c) your contact information; (d) a statement of good faith belief that the use is not authorized; (e) a statement under penalty of perjury that the information is accurate; and (f) your physical or electronic signature.
6.1 No Reselling of Digital Content. Participants may NOT resell, redistribute, share, upload to third-party platforms, or otherwise transfer any digital products, including but not limited to: PDF files, digital coloring pages, digital downloads, e-books, printable files, or any other digital content provided through or created in connection with the Program. Any unauthorized distribution of digital content constitutes copyright infringement and will result in immediate termination and potential legal action.
6.2 Physical Books. Participants who receive physical copies of True Colors Coloring Books may resell those specific physical copies (first-sale doctrine). However, participants may NOT reproduce, photocopy, scan, digitize, or create copies of physical books for resale or distribution.
6.3 Damages. Unauthorized reproduction or distribution of digital content may subject the infringer to statutory damages of up to $150,000 per work infringed under 17 U.S.C. § 504(c), in addition to actual damages, lost profits, and attorney's fees.
Bay Area CBT Center and its founder, Abby Lev, actively monitor and enforce their intellectual property rights. Any unauthorized use of Company intellectual property may result in immediate termination from the Program and may subject the infringer to civil and criminal penalties under applicable law.
This Copyright & Intellectual Property Policy shall be governed by and construed in accordance with the laws of the State of California and applicable United States federal copyright and trademark laws. Any disputes arising under this Policy shall be resolved in accordance with the Dispute Resolution provisions of our Terms of Service.
